University City District Terms of Use Agreement

University City District (UCD), a West Philadelphia non-profit organization, welcomes you as a user of our site. UCD maintains websites (Collectively, UCD sites) in furtherance of advancing our mission of changing places and changing lives within our coverage area. Websites that are the property of UCD include: philadelphiaskills.org, ucdiningdays.com, rediscoverwestphilly.com, and ucdannualreview.com. This Terms of Use Agreement (the “Terms”) governs your use of the UCD sites including written content, photography and videography, technology, and services provided by UCD sites. Please carefully read these Terms before accessing UCD services as they govern the use of UCD Services by visitors, users, and any others who access our sites (“Users”) and constitutes an agreement between you and University City District. By accessing UCD Services, you signify that you have read the Terms and agree to be bound by them and the UCD Privacy Policy, which is incorporated herein and available at www.universitycity.org/privacy-policy/, as well as any applicable laws and regulations. We may update these Terms from time to time. Each time you use any of the UCD Services, the current version of the Terms will apply. Accordingly, when you use the UCD Services, you should check the date of the Terms (which appears at the top of this page) and review any changes. If you do not agree with the Terms, do not access or otherwise use UCD Services. Where applicable under law, these Terms constitute a writing signed by you. Your continued use of the UCD Services following the posting of changes to these Terms will be deemed your acceptance of those changes.

University City District reserves the right to take any legal or technical remedies to prevent the violation of the Terms and to protect UCD Services, UCD Sites, Users, and the rights and properties of UCD and its affiliates.

Intellectual Property

UCD respects the intellectual property rights of others and asks that users of our websites do the same. Except for any third party content used as part of the UCD Sites, the material and data on the UCD Sites, including without limitation text, software, graphics, logos, photos, music, videos, and all other audible, visual or downloadable materials, as well as the selection, organization, coordination, compilation and overall look and feel of the UCD Sites (collectively, “UCD Content”) are the intellectual property of UNIVERSITY CITY DISTRICT. UCD Content is protected by copyright, trademark, and other intellectual property laws. All ownership rights remain with us. We reserve all rights not expressly granted in and to UCD Content. Except as provided in these Terms, UCD Content may not be distributed, downloaded, modified, reused, copied, reproduced, transferred, displayed, reposted, transmitted, disseminated, sold, published, broadcast or circulated or otherwise used without the express written permission of UCD. If you violate these Terms, your permission to use the UCD Services automatically terminates and you must immediately destroy any copies you have made of the UCD Content.

Limited License to Use UCD Content

The photographs, videos, and all written and visual content on the UCD sites is copyrighted to University City District. The content may not be reproduced, copied, or redistributed without the express written authorization of UCD. UCD reserves our right to pursue legal action in the event of any unauthorized use of the UCD Content.

Subject to the conditions set forth herein and without limiting the generality of the foregoing, UCD hereby grants Users a non-transferable, non-exclusive limited right to use UCD Content for personal and newsworthy uses only, provided that such use adheres to the following guidelines:

A copyright notice must be followed with a link to the source of the copyrighted material on the UCD Sites
Use of text obtained from the UCD Services is limited to a maximum of 300 words

In no event does the UCD Limited License authorize the use of UCD Content in connection with advertising or promotions or in items or products offered for sale. Permission to reproduce, copy, and redistribute copyrighted material does not extend to any third party materials that appear on the UCD Sites. Any use of UCD Content that does not comply with the UCD Limited License and has not otherwise been authorized by UCD may result in legal action by UCD.

User Conduct

Users agree to abide by all applicable local, state, national, and international laws and regulations. By using the UCD Services, you agree you will not, and that you will not solicit, assist, encourage or enable any third party to:

Attempt to gain unauthorized access to the UCD Sites, User accounts, computer systems, or networks connected to the UCD Services, through password mining or any other means
Transmit or email any content that contains any software viruses or similar programs including but not limited to: Trojan horses, time bombs, Trojan horses, cancel-bots, spyware, malware, computer code, files or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment
Impersonate any person or entity, or falsely state or otherwise represent yourself, your age, or your affiliation with any person or entity
Take any steps to interfere with or in any manner compromise or circumvent any of UCD’s privacy or security measures
Use the VISIT PHILADELPHIA Services for any unauthorized purpose or in any manner not expressly permitted by the Terms.

Intellectual Property

University City District Social Media

UCD operates accounts across social media platforms that are accessible on or through the UCD Sites, as well as directly through the social media platforms themselves (“UCD Social Media.”) Social media platforms have their own policies and procedures in place that govern your use. To the extent that a social media platform does not have its own policies and procedures in place or the policies and procedures do not address topics covered under these Terms, the Terms shall govern your use of all UCD Social Media. Without limiting the foregoing, uploading, publishing, posting or displaying the following is expressly prohibited on all UCD Social Media:

Unlawful, fraudulent, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, sexually explicit, libelous, inappropriate, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable, or material, or material that you do not have a right to transmit under any law or under contractual or fiduciary relationships
Political or religious discourse
Flame messages, spam, and trolling
Any attempt to buy or sell products or services
Intentionally false or misleading statements
Material that infringes on a third party’s intellectual property rights, including copyright, trademark, and other proprietary rights
Attempts to impersonate or represent University City District or its affiliates or to speak on behalf of University City District without written approval to do so, and
Comments that are intended to or have the appearance of being intended to intimidate University City District employees.

UCD reserves the right, but does not have the obligation, to monitor UCD Social Media and delete any postings that violate the permitted uses of UCD Social Media as described in these Terms.

UCD’s use of social media does not confer any license or right under any copyright, trademark, or other proprietary right to any material whatsoever that is owned or licensed by UCD.

Changes to the Terms

UCD reserves the right to update or make changes to these Terms Policy at any time and without prior notice by posting a revised version of the Terms on the UCD Sites. Please review our Terms periodically. We may provide you additional notice of modification as appropriate, either through email or an updated “date,” on the Terms that we post on the UCD Services. Your continued use of the UCD Services after any modification of the Terms will constitute your acceptance of these modifications.
